BUSINESS FORMATION AND OPERATION Planning whether to operate as a sole proprietorship, partnership, corporation, or limited liability company is a fundamental choice for any business. Through the practice of "preventive law" and close working relationships with our clients, we are able to assist established businesses to design and implement effective working relationships among owners, employees, vendors, and clients or customers. We negotiate and draft contracts, interact with the company's accountant, review insurance coverage, protect company intellectual property and trade secrets, provide counsel on employee issues and benefits, and provide a myriad of other legal services to support busy entrepreneurs. We often attend company board meetings, prepare minutes, and advise on compliance with corporate formalities. These proactive services help clients prevent problems and disputes before they occur, saving them money in the long run. We are experienced with all phases of a business's life cycle. While we do not make securities offerings or advise on them, we have close working relationships with qualified securities lawyers who can work with us to take a client's business where it needs to go. If and when companies or owners decide to change course, we can assist them with exit strategies, and a transfer of ownership or dissolution. |
